SnapSale Vendor Terms & Conditions

This Vendor Agreement (“Agreement”) governs the relationship between SnapSale, operated by Snaprise (Private) Limited, and any individual or business entity (“Vendor”) that lists or sells products on the SnapSale platform (“Platform”).

By registering as a Vendor and listing products on the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.


1. About SnapSale

SnapSale is an online marketplace that facilitates transactions between Vendors and Customers.

SnapSale may provide the following services:

  • Product listing tools

  • Payment processing

  • Logistics coordination or delivery support

  • Marketing and promotional services

Unless expressly stated otherwise, SnapSale does not own, store, or take title to Vendor products listed on the Platform.


2. Vendor Eligibility

To register as a Vendor, you must:

  • Be legally capable of entering into binding agreements

  • Be legally registered in Zimbabwe where required by law

  • Have full authority to sell the products listed on the Platform

  • Provide accurate and up-to-date business information

  • Provide valid contact details and bank/payment information

  • Comply with all applicable Zimbabwean laws and regulations

SnapSale reserves the right to request documentation including but not limited to:

  • Company registration documents

  • Tax registration details

  • National identification documents

  • Proof of inventory or product sourcing

SnapSale may approve or reject Vendor applications at its sole discretion.


3. USD-Based Platform Policy

SnapSale operates primarily in United States Dollars (USD).

  • All product prices must be listed in USD.

  • Where payments are made using alternative currencies, settlement values may be determined using the payment provider’s exchange rate.

  • Vendor settlements are calculated based on the USD value of the transaction.

SnapSale shall not be responsible for:

  • Exchange rate fluctuations

  • Bank charges

  • Payment provider fees applied to Vendor accounts


4. Vendor Responsibilities

Vendors agree that:

  • All products listed are authentic and legally sourced.

  • Product descriptions, specifications, and images are accurate and not misleading.

  • Products comply with Zimbabwean consumer protection laws and product safety regulations.

  • Vendors will honor warranties where applicable.

  • Confirmed orders will be fulfilled within the agreed timelines.

Vendors are solely responsible for:

  • Product quality and safety

  • Regulatory compliance

  • Import documentation (where applicable)

  • Intellectual property compliance

  • Product warranties and guarantees


5. Prohibited Products

Vendors are strictly prohibited from listing or selling:

  • Counterfeit or imitation goods

  • Illegal or restricted items

  • Expired or unsafe products

  • Stolen goods

  • Products that infringe intellectual property rights

SnapSale reserves the right to remove any listing without prior notice where a violation is suspected.


6. Pricing and Platform Fees

SnapSale may charge Vendors fees including but not limited to:

  • Sales commission

  • Product listing fees

  • Advertising or promotion fees

  • Transaction processing fees

Fee structures may be communicated separately and may be deducted from Vendor settlements.

SnapSale reserves the right to adjust commission rates or fee structures with reasonable notice.


7. Payment Processing and Settlement

SnapSale collects customer payments on behalf of Vendors and processes settlements according to the payment method used by the customer.

7.1 Cash on Delivery (COD)

Where a customer selects Cash on Delivery:

  • Payment is collected at the time of delivery.

  • Vendor settlement will be processed on the same day after successful delivery confirmation, subject to operational cut-off times.

7.2 Online Payments

Where a customer pays using online payment methods (including cards, mobile payments, or digital wallets):

  • Payment must clear through the payment gateway before the order is confirmed.

  • Vendor settlement will be processed within 24 hours after delivery confirmation.

7.3 Settlement Conditions

Vendor payouts are subject to:

  • Successful delivery confirmation

  • No active disputes or refund requests

  • No fraud or chargeback investigations

SnapSale reserves the right to temporarily withhold funds where necessary for:

  • Dispute resolution

  • Chargebacks

  • Fraud investigations

  • Product returns

Transaction charges, payment gateway fees, and bank deductions remain the responsibility of the Vendor.


8. Delivery (Current Scope – Harare)

SnapSale currently provides delivery services within Harare only.

Vendors must:

  • Prepare orders within the agreed dispatch timeframe

  • Package items appropriately for delivery

  • Ensure products match their listing descriptions

Failure to meet dispatch requirements may result in penalties, delayed payouts, or account suspension.


9. Returns and Refunds

Vendors agree to comply with Zimbabwean consumer protection laws regarding returns and refunds.

Vendors must:

  • Accept legitimate returns where products are defective or misdescribed

  • Replace or refund defective products where applicable

Vendors will bear return costs where the issue results from:

  • Defective goods

  • Incorrect product descriptions

  • Fulfillment errors

SnapSale may process refunds directly to customers and deduct the corresponding amount from Vendor settlements.


10. Chargebacks and Fraud

In the event of a payment chargeback:

  • SnapSale may immediately deduct the disputed amount from the Vendor account.

  • Vendors must provide proof of delivery within 48 hours of request.

Where fraud or misrepresentation is identified, SnapSale reserves the right to:

  • Permanently suspend the Vendor account

  • Withhold pending settlements

SnapSale is not liable for chargeback losses caused by Vendor error, misrepresentation, or non-fulfillment.


11. Flash Sales and Promotions

Where Vendors participate in SnapSale promotional campaigns or flash sales:

  • Vendors must honor all advertised promotional prices.

  • Adequate inventory must be available.

  • Orders may not be cancelled due to pricing changes or vendor error.

Failure to fulfill promotional orders may result in removal from future promotions or account suspension.


12. Intellectual Property Rights

By listing products on SnapSale, Vendors grant SnapSale a non-exclusive, royalty-free license to use:

  • Product images

  • Product descriptions

  • Vendor trademarks or brand names

These may be used for marketing, advertising, and platform promotion.

Vendors confirm that they possess the legal rights to all submitted content.


13. Snap Genie and AI Systems

SnapSale may use automated systems, including AI technologies such as Snap Genie, to:

  • Generate product descriptions

  • Optimize product listings

  • Improve product visibility on the Platform

Vendors acknowledge that such systems may generate content based on the information provided. Vendors remain responsible for verifying the accuracy of their listings.


14. Limitation of Liability

SnapSale shall not be liable for:

  • Product defects

  • Vendor regulatory violations

  • Intellectual property infringement claims caused by Vendor products

  • Vendor tax obligations or compliance failures

SnapSale’s total liability to any Vendor shall not exceed the amount of unpaid settlements owed to that Vendor at the time of the claim.


15. Suspension or Termination

SnapSale reserves the right to suspend or terminate Vendor accounts immediately where:

  • Fraudulent activity is detected

  • Counterfeit goods are listed

  • High return or complaint rates occur

  • Legal violations occur

  • Platform policies are repeatedly breached

SnapSale may withhold funds during investigation periods.


16. Indemnification

Vendors agree to indemnify and hold SnapSale and Snaprise (Private) Limited harmless from any claims, damages, losses, liabilities, or expenses arising from:

  • Consumer complaints

  • Regulatory penalties or fines

  • Intellectual property disputes

  • Product liability claims

  • Vendor misconduct or negligence


17. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Zimbabwe.

Any disputes arising from this Agreement shall be resolved in the courts of Zimbabwe.


18. Amendments and Updates

SnapSale reserves the right to update or modify these Terms and Conditions at any time.

Where material changes occur, Vendors will be notified through the Platform or via email.

Continued use of the Platform constitutes acceptance of the updated Terms.
